1. Agreement & Scope
   By using this website and its pages (the “Site”), you agree to these Terms. If you do not agree, do not use the Site. These Terms govern Site access only.
2. Eligibility
   You must have legal capacity to contract and use the Site only for lawful, legitimate purposes.
3. Permitted Use
   Personal or internal-business use only. Do not rely on Site content as advice; consult your own advisers.
4. Prohibited Conduct
   You will not: (a) access without authorization; (b) copy, scrape, crawl, or harvest data; (c) probe, scan, or test security; (d) upload malware or interfere with the Site; (e) use automation to overload services; (f) post unlawful, infringing, defamatory, or deceptive content; (g) circumvent access controls; (h) misrepresent affiliation.
5. Intellectual Property
   All content on the Site is owned by BlackStar Capital or its licensors and protected by IP laws. We grant a limited, revocable, non-exclusive, non-transferable license to access and use the Site. No reproduction, modification, distribution, reverse engineering, framing, or derivative works without written permission.
6. Feedback & User Content
   If you provide feedback, ideas, or materials, you grant BlackStar Capital a perpetual, worldwide, royalty-free license to use them without restriction or attribution. Do not submit content you lack rights to or that contains confidential/MNPI data.
7. Third-Party Links & Services
   Links are for convenience and may point to third-party sites/services we do not control or endorse. You assume all risk for their use and must review their terms and policies.
8. “As-Is” and Availability
   The Site is provided “as is” and “as available.” We disclaim all warranties (express, implied, statutory), including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.
9. Limitation of Liability
   To the maximum extent permitted by law, BlackStar Capital will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages; loss of profits, revenue, data, or goodwill; or business interruption, arising from or related to the Site or these Terms, even if advised of the possibility. Some jurisdictions do not allow certain exclusions; these limits apply to the fullest extent permitted. Nothing excludes liability that cannot be excluded by law (e.g., fraud).
10. Indemnity
    You will indemnify and hold harmless BlackStar Capital and its affiliates, officers, employees, and agents from claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from your Site use or breach of these Terms.
11. Export Controls & Sanctions
    You will not use the Site in violation of applicable export control, sanctions, or anti-boycott laws, nor for prohibited end uses or end users.
12. Beta/Experimental Features
    Any experimental or preview features are provided “as is,” may change or cease without notice, and may be subject to additional terms.
13. Changes to the Site or Terms
    We may modify, suspend, or discontinue any part of the Site at any time. We may update these Terms by posting a revised version with a new “Last updated” date; continued use means acceptance.
14. Privacy
    Our processing of personal data is described in the Privacy Policy, which forms part of these Terms.
15. Takedown (IP/Content Complaints)
    Report alleged infringement or unlawful content to legal@blackstarcapital.com with: your contact details; description of the work/right; exact URL on the Site; a good-faith statement; and your signature (typed is acceptable). We may remove or disable access where appropriate.
16. Termination
    We may suspend or terminate access immediately for any reason. Upon termination, provisions that by nature should survive (e.g., IP, limitations, indemnity) will survive.
17. Dispute Resolution; Governing Law & Venue
    Except where prohibited by mandatory law, these Terms and any dispute or claim arising out of or relating to them or the Site are governed by the laws of the jurisdiction where BlackStar Capital has its principal place of business, without regard to conflict-of-laws rules. The courts located there will have exclusive jurisdiction and venue. If consumer protection or other mandatory laws in your place of residence require otherwise, you may bring claims in your local courts and under your local laws.
18. Miscellaneous
    Severability: if any provision is unenforceable, the remainder stays in effect.
    Waiver: failure to enforce is not a waiver.
    Assignment: you may not assign these Terms; we may assign them.
    Entire Agreement: these Terms and the Privacy Policy are the entire agreement for Site use.
    No Agency: these Terms do not create partnership, agency, or fiduciary duties.
